Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SeedGovernance ("Company," "we," "us," or "our") governing your access to and use of the SeedGovernance platform, website, APIs, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Definitions

  • "Service" means the SeedGovernance compliance governance platform available at app.seedgovernance.com, including all associated APIs, documentation, templates, and tools.
  • "Tenant Data" means all data stored within a Customer's isolated tenant environment, including governance content, configurations, assessment responses, and audit logs.
  • "Customer Content" means all policies, procedures, documents, control mappings, assessments, and other materials that the Customer or its Users upload, create, or store within the Service.
  • "User" means any individual authorized by the Customer to access the Service under the Customer's Account, including employees, contractors, consultants, and auditors.
  • "Account" means the Customer's registered SeedGovernance account, including all associated workspaces and User seats.
  • "Subscription" means the paid plan selected by the Customer, which determines available features, User limits, and pricing.
  • "Subscription Period" means the duration of the Customer's current billing cycle (monthly or annual).

3. Eligibility and Account Registration

3.1 Eligibility

The Service is designed for use by businesses and organizations. You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. By creating an Account, you represent that you meet these requirements.

3.2 Account Creation

To use the Service, a company representative must create an Account by providing accurate and complete information, including company name, industry, company size, and a valid work email address. During registration, you must select a data residency region for your Tenant Data. This region selection is permanent and cannot be changed after Account creation.

3.3 Users

You may invite Users to your Account in accordance with the User limits of your Subscription. You are responsible for ensuring that all Users comply with these Terms. You must promptly remove access for any User who no longer requires it. You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your Account.

4. Service Description

SeedGovernance is a multi-tenant compliance governance platform that helps organizations build, manage, and maintain their governance frameworks. The Service includes:

  • Support for 33 compliance and governance frameworks spanning data protection, cybersecurity, financial regulation, industry standards, and AI governance
  • A library of 688 pre-built policy and procedure templates mapped to specific framework controls
  • Automated compliance assessments with gap analysis and remediation tracking
  • Control mapping across multiple frameworks to identify overlapping requirements
  • Document lifecycle management with version control and approval workflows
  • Audit-ready evidence collection and reporting
  • Role-based access controls and team collaboration tools

The Service provides governance tools and templates to assist your compliance efforts but does not constitute legal, compliance, or professional advice. You remain responsible for ensuring your organization's compliance with applicable laws and regulations.

5. Subscription Plans

5.1 Available Plans

The Service is offered under the following subscription plans:

Current plan details, feature comparisons, and pricing are available on our pricing page. We may update pricing with at least 30 days' notice before the start of a new Subscription Period.

5.2 Free Trial

New Customers are eligible for a 14-day free trial of the Pro plan. No credit card is required to start a free trial. At the end of the trial period, you may select a paid Subscription to continue using the Service. If you do not select a paid plan, your Account will be automatically downgraded to a read-only state, preserving your data for 30 days. After 30 days in read-only state, your Account and associated Tenant Data may be permanently deleted.

6. Payment and Billing

6.1 Payment Processing

All payments are processed securely through Stripe, our third-party payment provider. You agree to provide accurate billing information and authorize Stripe to charge your designated payment method. SeedGovernance does not store full payment card details.

6.2 Automatic Renewal

Subscriptions renew automatically at the end of each Subscription Period (monthly or annual) unless cancelled before the renewal date. You will be charged the then-current rate for your plan at each renewal.

6.3 Upgrades and Downgrades

You may upgrade your Subscription at any time. Upgrades take effect immediately, and fees are prorated for the remainder of the current Subscription Period. You may downgrade your Subscription at any time; the downgrade takes effect at the start of the next Subscription Period. No refunds are issued for downgrades within a Subscription Period.

6.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, and duties imposed by taxing authorities, except for taxes based on our net income.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit illegal content, malicious code, viruses, or harmful materials
  • Scrape, crawl, or use automated means to access the Service without our prior written consent
  • Attempt to gain unauthorized access to the Service, other Customer accounts, or related systems and infrastructure
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
  • Use the Service to build a competing product or service, or for competitive benchmarking
  • Share account credentials or allow unauthorized individuals to access the Service
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Use the Service to store or process data classified above the "Confidential" level without an Enterprise agreement

We reserve the right to suspend or terminate access for any Customer that violates these acceptable use provisions, with or without notice depending on the severity of the violation.

8. Intellectual Property

8.1 SeedGovernance Property

The Service, including all software, source code, designs, user interfaces, templates, framework content, algorithms, APIs, and documentation, is owned by SeedGovernance and protected by intellectual property laws. Your Subscription grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your Subscription Period. Pre-built templates and framework content provided within the Service are licensed for your internal use only, not sold.

8.2 Customer Ownership

You retain all right, title, and interest in your Tenant Data and Customer Content. We do not claim ownership of any data you create, upload, or store in the Service. You grant us a limited, non-exclusive license to process, store, and display your Tenant Data solely for the purpose of providing the Service to you.

8.3 Aggregated Data

We may collect and use aggregated, anonymized data derived from the use of the Service for product improvement, benchmarking, and research purposes. Aggregated data does not identify any individual Customer, User, or organization.

9. Data Ownership and Portability

Your Tenant Data belongs to you. You may export all of your Customer Content at any time in structured, machine-readable formats (JSON, CSV) through the Service's export functionality or by contacting support. We will not hold your data hostage, and we commit to providing reasonable assistance with data migration upon request.

10. Availability and Service Level Agreement

10.1 Uptime Target

We target 99.5% uptime for Pro and Enterprise plan Customers, measured on a monthly basis, excluding scheduled maintenance windows. No uptime commitment or SLA is provided for the Starter plan. Scheduled maintenance will be communicated at least 48 hours in advance via email and the status page.

10.2 SLA Credits (Enterprise Only)

If monthly uptime falls below 99.5% for Enterprise plan Customers (excluding scheduled maintenance and force majeure events), you may request a service credit as follows:

  • 99.0% – 99.5% uptime: 10% credit on monthly fee
  • 95.0% – 99.0% uptime: 25% credit on monthly fee
  • Below 95.0% uptime: 50% credit on monthly fee

Credit requests must be submitted within 30 days of the incident. Credits may not exceed the monthly fee for the affected period and are not redeemable for cash.

10.3 Support

Support is provided via email at support@seedgovernance.com. Response times vary by plan: Pro plans receive responses within one business day; Enterprise plans receive priority support with a 4-hour response SLA during business hours.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEDGOVERNANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

11.2 Cap on Liability

SEEDGOVERNANCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO SEEDGOVERNANCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.3 Exceptions

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law.

12. Termination

12.1 Termination by Customer

You may cancel your Subscription at any time through your Account settings or by contacting support@seedgovernance.com. Cancellation takes effect at the end of the current Subscription Period. You will retain access to the Service until then.

12.2 Termination by SeedGovernance

We may suspend or terminate your access to the Service immediately if you:

  • Materially breach these Terms and fail to cure the breach within 15 days of written notice
  • Violate the Acceptable Use provisions
  • Fail to pay fees that are 30 or more days overdue
  • Become subject to insolvency proceedings

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. You may export your Tenant Data for 30 days following termination. After 30 days, Tenant Data is permanently deleted from primary storage and within 90 days from backup systems. Provisions that by their nature should survive termination (including data ownership, limitation of liability, and indemnification) will survive.

13. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice via email to the Account owner and by posting a prominent notice on the Service before the changes take effect. Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your Subscription before the effective date.

14. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SEEDGOVERNANCE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE PROVIDES GOVERNANCE TOOLS AND TEMPLATES BUT DOES NOT CONSTITUTE LEGAL, COMPLIANCE, OR PROFESSIONAL ADVICE.

15. Indemnification

You agree to indemnify and hold harmless SeedGovernance and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your Customer Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of [Jurisdiction].

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Data Processing Agreement, constitute the entire agreement between you and SeedGovernance.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, acts of government, pandemics, or infrastructure failures.
  • Notices: Notices to SeedGovernance must be sent to legal@seedgovernance.com. Notices to you will be sent to the email address associated with your Account.
